Terms of Service

1. Agreement to Terms

By accessing or using Penomic ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Penomic is an AI-powered consulting workflow platform that allows users to:

• Have working conversations with AI agents tuned for consulting-grade analysis
• Upload documents and data files for research and analysis
• Generate consulting-grade deliverables (presentations, models, briefings) using AI
• Edit, customize, and export deliverables
• Collaborate with team members (on applicable plans)

3. Account Registration

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Not create accounts using disposable or temporary email services to evade trial limits

4. Trial, Subscription, and Payment

Free Trial: New accounts receive a 14-day free trial with 500 credits. No credit card is required to start the trial.

Trial Conversion: If you add a payment method during your trial and choose to subscribe, your card will be charged at the end of the trial unless you cancel beforehand. If you have not added a payment method, your trial will expire and your access will be limited until you subscribe.

Paid Plans: Solo is $199/month or $2,028/year. Firm is $399 per user/month or $4,068 per user/year. Enterprise pricing is custom — contact us. All prices are in US dollars and exclusive of applicable taxes.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually) until you cancel. You can cancel from your account settings at any time. Cancellation stops future renewals; it does not refund the current period.

Credits: Plans include a monthly credit allocation that resets at the start of each billing cycle. Unused credits do not roll over to the next cycle unless your plan explicitly says they do. Credits have no cash value and cannot be transferred or redeemed for cash.

Price Changes: We may change pricing for new subscriptions at any time. Existing subscribers will be notified at least 30 days before any price increase that affects their subscription, and may cancel before the new price takes effect.

Refunds: Annual subscriptions may be eligible for pro-rated refunds within 30 days of the initial purchase. Monthly subscriptions and renewal payments are non-refundable. Credits already consumed are non-refundable.

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Upload content that is illegal, harmful, or infringes on others' rights
• Generate content intended to deceive, defame, harass, or impersonate any person or organization
• Attempt to gain unauthorized access to our systems, accounts, or infrastructure
• Interfere with or disrupt the Service, including via automated traffic at scale
• Use the Service for spam, phishing, or unsolicited communications
• Reverse engineer the Service, attempt to extract source code, prompts, or model weights
• Resell, sublicense, or expose the Service as your own product without authorization
• Create multiple accounts to evade trial limits, rate limits, or paid plan caps

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

6. Your Content

Ownership: You retain all ownership rights to content you upload to the Service. We do not claim ownership of your documents, conversations, or generated deliverables.

License to Us: By uploading content, you grant us a limited license to process, transform, store, and transmit your content solely for the purpose of providing the Service to you. This license terminates when you delete the content or close your account.

Responsibility: You are responsible for ensuring you have the right to upload, process, and use all content you submit to the Service, including any obligations to third parties whose data appears in your content.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Penomic and is protected by international copyright, trademark, and other intellectual property laws.

Our system prompts, agent designs, model orchestration, and output templates are proprietary and may not be copied, modified, or distributed without our express written consent.

8. AI-Generated Content

Output Rights: You own the rights to deliverables generated through the Service from your inputs.

No Training on Your Content: Your conversations, uploaded documents, and generated outputs are not used to train AI models. See our Privacy Policy for details on AI provider arrangements.

No Guarantee: AI-generated content is provided "as is." AI systems can make factual errors, miss context, or produce content that requires correction. You are responsible for reviewing and validating all generated content before use, especially for client-facing or decision-grade work.

Not Professional Advice: The Service does not provide legal, financial, medical, tax, or other regulated professional advice. Generated content should not be relied upon as such. Consult a qualified professional for advice specific to your situation.

9. Limitation of Liability

To the maximum extent permitted by law, Penomic shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service, including but not limited to loss of profits, data, or business opportunity.

Our total aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate or suitable for your use case.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms or for activity that threatens the security or integrity of the Service.

You may terminate your account at any time from your account settings or by contacting support. Upon termination, your right to use the Service will cease immediately. Data deletion timelines on termination are described in our Privacy Policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms here and updating the "Last updated" date, and where appropriate by email or in-product notice. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
